BlackRock - Legal & Compliance Officer – Real Estate, Vice President

Key Responsibilities:

This role is responsible for all legal and regulatory compliance matters pertaining to BlackRock real estate equity operations conducted in Japan. To include specifically:

(1) Legal

  • Work with members of BlackRock Legal & Compliance in Hong Kong and Japan and with BlackRock's Product Development Group, assist with the planning, formation and offering of real estate funds and separate accounts sponsored or organized by BlackRock Real Estate operations for Japan, including regulatory filings and review of offering materials;
  • Monitor and coordinate legal services with regard to real estate activities within Japan for funds and separate accounts, wherever organized or situated, including formation of joint ventures, acquisitions, asset management, leasing, financings and dispositions;
  • Coordinate the establishment and maintenance of legal entities for real estate funds and transactions related to real estate operations within Japan;
  • Monitor and coordinate legal services required for litigation and dispute resolution related to Japanese real estate operations of BlackRock clients and funds and provide regular reports of such litigation;
  • Provide full coordination of efforts between Japanese real estate team and international real estate team and partners, including international Legal & Compliance; and
  • Review relevant contracts (in English and Japanese) in connection with the above-mentioned activities or as requested by the Japanese real estate team.

(2) Compliance

  • Assist Hong Kong-based Alternatives Compliance unit by acting as principal contact for compliance matters within the Japanese Real Estate group; this involves (i) helping to ensure that BlackRock Group policies are properly understood and implemented within Real Estate and (ii) direct involvement in the development and implementation of compliance policies specific to Real Estate and (iii) acting as BlackRock Japan's Compliance Officer dedicated to real-estate matters as required or expected by the Japanese regulatory authorities;
  • Maintain all applicable regulatory licenses required by the Japanese Real Estate group;
  • Working with international internal and external counsel, assure that all real estate funds organized for Japan and all real estate operations in Japan meet applicable Japanese and international regulatory requirements, including sanctions, anti-money laundering rules and U.S. Bank Holding Company Act requirements;
  • Maintain records for any applicable internal BlackRock committees based in Japan, and see that all committee procedures are followed;
  • Working with Alternatives Compliance, establish and maintain investment, disposition and quarterly compliance checklists for clients and funds within Japan;
  • Monitor that all approvals of any third parties (including management companies or trustees) needed for real estate transactions are obtained as needed, and that all operations are conducted in accordance with the requirements of governing documents with regard to funds and clients within Japan;
  • Subject to required BlackRock approvals and policies, select and approve outside counsel to assist with the foregoing. Approve all legal bills for such services in accordance with approved policies; and
  • To prevent duplication of effort and promote efficiency, seek assistance from the local legal team where appropriate, especially in connection with real estate fund organization and offerings and complex real estate transactions involving entity acquisitions.

As an additional responsibility, this Vice President is to provide or arrange for the provision of legal services related to the leasing of BlackRock facilities needed in Japan.

Skills/Qualifications:
  • 6+ years in legal positions in Japan, ideally having some law firm experience and substantial work experience with financial services company or with a real estate investment manager handling direct real estate and real estate fund matters
  • Japanese (native level) and English (business level) communication skills required
  • Ability to identify, suggest and implement improvements to processes and/or procedures
  • Enjoy working as a team member as well as independently
