The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

We are currently seeking a high caliber professional to join our team as Company Secretarial Assistant.

Principal responsibilities

  • Provide support to the Company Secretary in delivering a company secretarial service to the Group's companies in Singapore.
  • Assist the Company Secretary in providing support to the Board and Senior Management on corporate governance, regulatory and governmental requirements
  • Support in the implementation of corporate actions, such as acquisitions, disposals, formations and liquidations of companies, restructuring of Group companies and investments, including overseas interests, injection of share capital and loan capital and payment of dividends
  • Maintain accurate and complete statutory records on the Group Corporate Database and timely filing of statutory returns with regulatory bodies
  • Assist in the production of the Directors Report and other company secretarial elements of the statutory accounts of Group
  • Stakeholders include the Chief Executive Officer, Board of Directors and Senior Management
  • Job holder is also required to work closely with colleagues in other departments including Finance, Legal, Compliance, Global Management Office
  • Responsible in monitoring the effectiveness of the corporate governance framework
  • Contribute towards the cost and expense reduction of the department
  • Adhere to Group standards, HSBC Internal Control Standards and Group Compliance Policy

  • Possess administrative experience in the financial industry, preferably a Student member of The Institute of Chartered Secretaries and Administrators or Associate member of The Institute of Chartered Secretaries and Administrators.
  • Able to manage the requirements of senior stakeholders in a global organization
  • Strong interpersonal, written & verbal communication skills
