Job Summary


Babson is looking for an experienced private equity attorney to support its Alternatives and Private Equity team.  As part of a pending integration of affiliate investment managers, Babson is combining its Strategic Investors team with the real assets business team acquired from Wood Creek Capital Management.  The attorney for this group will be responsible for the day to day legal support of the Alternatives and Private Equity clients, and would initially report to the Head of the Private Finance & Alternatives Legal team.  The successful candidate would have the opportunity to join the firm’s Senior Legal Team following an onboarding period, and may be asked to manage other Attorneys and Legal Analysts within the group as the business team grows.  This role will be located at the firm’s headquarters in Charlotte, NC.

Primary Responsibilities


The successful candidate will be expected to perform the following functions:
• Advise the business team in the development, structuring, and negotiation of direct private equity investments as well as co-investment transactions
• Structuring of private U.S. and offshore investment funds
• Have a familiarity with the regulatory and operational aspects of representing an SEC registered investment advisor
• Support a range of corporate governance functions and mergers and acquisitions matters related to portfolio companies
• Provide legal advice on organizational and transactional documents related to private equity and real assets fund formation and investments
• Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines
• Communicate material legal and regulatory issues promptly to the firm’s relevant stakeholders

Qualifications

• Minimum of 7-10 years of experience working in private equity or corporate finance, at a law firm or financial institution
• J.D. from a highly-regarded law school
• Member in good standing in at least one state bar association
• Experience drafting and/or negotiating private equity fund and investment documentation 
• Knowledge of the Investment Advisers Act of 1940 preferred, but not required
• Diverse problem solving skills in the investment arena
• Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels
• Superior organizational skills and the ability to manage heavy work load of diverse matters in a timely manner
• High standards of personal integrity and sound business judgment
• Must be willing to comply with the provisions of Babson Capital’s Code of Ethics related to personal securities activities and other disclosure and certification requirements
