Department Overview

The Senior Corporate Paralegal will play an integral role on the IHS Markit Legal team, working closely with the Company's General Counsel and Senior Counsel, Securities & Corporate Governance on Board, shareholder, corporate governance, M&A and domestic subsidiary matters.

Duties and Accountabilities

• Support GC and Senior Counsel, Securities & Corporate Governance in all things related to corporate governance, M&A and domestic subsidiary governance. • Assist with the preparation of materials and minutes for meetings of our Board of Directors and its committees, including drafting written consents and maintaining corporate records. • Maintain the minute books and ensure completion of the annual filing requirements for IHS Markit and its subsidiaries. • Assist in organizing and overseeing annual shareholder meetings. • Provide support as needed for '34 Act filings, including 10Qs, 10Ks and proxy statements. • Assist in due diligence and other corporate matters in connection with potential acquisitions. • Serve as primary point of contact and oversee corporate governance for domestic and international subsidiaries. • Act as a liaison on behalf of IHS Markit with outside counsel. • Assist in review of all legal expenses and invoices related to corporate matters. • Assist in audit, compensation and benefits and tax support, as required. • Help with ad hoc projects as needed. • Suggest and implement improvements to make the legal department more efficient.
