Recently settled in Germany, a private equity firm is recruiting an M&A Analyst (m/f/d) to support the growing activity of their investment. In a nutshell, you will coordinate the M&A pipeline and integrate the acquired companies. The sector focus is infrastructure. Reporting to the German CEO, the M&A Analyst – Infrastructure (m/f/d) participates in the external growth strategy of the firm in a LBO environment.

Your Tasks

  • Market analysis, identification and liaising with potential future partners
  • Prepare and manage the confidentiality agreements, gather and analyse preliminary data such as audits, shareholding and leadership details
  • Evaluate targets based on their business and financial condition, outlook and recommend deal structure
  • Prepare the firm’s board of shareholders presentations on new acquisition opportunities, in close relationships with the M&A team in France
  • Support the rest of the M&A team on transaction process and tactics, in particular interfacing with the potential targets, its shareholders or advisors and assist the business leaders in preparing negotiation documents required to progress a transaction towards completion, including term sheets, heads of agreements, indicative offer letters or exclusivity agreements as required
  • Assist negotiations and related strategy, analyse and comments on sales and purchase documentation until signing/closing as required
  • Validate the acquisition contracts, representations and warranties
  • Coordinate the closing of the deal, including financial settlements
  • Assist in setting up pre- and post-merger integration meetings and reporting on the different tasks’ advancement
  • Follow-up any post-closing obligation resulting from the acquisition (annual account, earn-outs, post-closing performance…)

 

Your Profile

  • The ideal candidate will have an outstanding academic track record from a recognised college or university
  • First/several years of/extensive experience and solid understanding of the M&A process (NDA, LOI, DD, SPA, PMI)
  • Previous experience in a LBO organization
  • Outstanding technical / conceptual understanding of finance & evaluations
  • Time management, organizational and prioritization skills
  • Fluent (written and spoken) English and German
