The successful candidate will act as the key advisory figure on corporate governance, ensuring the entire banking group strictly complies with all applicable statutory and regulatory frameworks in Hong Kong.
Key responsibilities:
- Board & Subsidiary Governance: Act as the Company Secretary for the Bank and its subsidiaries, and serve as the Secretary/Deputy Secretary for the Board of Directors and various Board Committees
- Regulatory Compliance & Advisory: Provide professional advice and strategic support on corporate governance matters. Ensure full compliance with relevant statutory and regulatory requirements, including the Hong Kong Companies Ordinance, the HKMA Supervisory Policy Manual (SPM), the Securities and Futures Ordinance (SFO), and relevant Insurance Authority (IA) regulations
- Departmental Leadership: Lead the Company Secretarial team to deliver high-quality, efficient secretarial support to the Board, Board Committees, and Senior Management
- Meeting & Corporate Administration: Oversee the seamless organisation of Board and Committee meetings. This includes the preparation and distribution of agendas, meeting materials, minutes, corporate resolutions, interim/annual reports, and other statutory filings or corporate communications
- Regulatory Liaison Support: Provide specialized support and corporate governance inputs to the Bank's Compliance Department regarding inquiries from regulatory authorities
- Special Projects: Participate in and contribute to ad-hoc corporate projects and strategic initiatives as assigned
Job requirements:
- Education: Bachelor's degree or above in a relevant discipline (e.g., Law, Corporate Governance, Business Administration)
- Experience: Minimum of 15 years of relevant company secretarial experience within the banking sector or large-scale corporations. Experience within Chinese banks or State-Owned Enterprises (SOEs) is highly preferred
- Professional Qualifications: Fellow (FCG) or Associate (ACG) member of The Hong Kong Institute of Bankers / The Hong Kong Corporate Governance Institute (HKCGI), or possess a strong legal professional background
- Regulatory Knowledge: Thorough understanding of the HKMA Supervisory Policy Manual (SPM), Securities and Futures Ordinance (SFO), Hong Kong Companies Ordinance, and other banking-related regulatory frameworks
- Communication & Stakeholder Management: Excellent negotiation and interpersonal skills, with a proven ability to communicate and influence effectively at the Board and Executive Management level
- Leadership: Proven track record of managing, mentoring, and leading a professional secretarial team
- Language Proficiency: Native or near-native fluency in written and spoken English and Chinese (including Mandarin)
- Core Competencies: Strong analytical and problem-solving skills, with a high degree of accountability, integrity, and a strong service-oriented mindset
