Responsibilities

  • Advise on and ensure compliance with relevant requirements under the Banking Ordinance, Companies Ordinance and Securities & Futures Ordinance, and HKMA guidelines
  • Support the Head of Secretariat to review developments in corporate governance
  • Handle relevant regulatory notifications and establish procedures to comply with the relevant regulations and internal policies
  • Ensure proper maintenance of the statutory records and timely filing of statutory returns
  • Facilitate Board approval to be obtained on proposals and other corporate transactions
  • Arrange, attend and take minutes of Board and Board committee meetings
  • Work together with team members to perform the secretarial work in a professional manner

Requirements

  • University graduate or above in related disciplines
  • Member of HKICS / ICSA
  • Minimum 12 years' relevant experience in the company secretarial field. Previous experience in banking/financial sector or dealing with the HKMA is an advantage
  • Well-versed in the Companies Ordinance and good knowledge of other relevant statutory requirements
  • Good interpersonal skill and communication skill
  • Ability to build strong relationship with senior management and board of directors, and tactful in handling delicate and sensitive situation
  • Well-organized, systematic and strong sense of responsibilities
  • Proficiency in spoken/written English and preferably also, Putonghua
