In the role of Depositary you will be responsible for:

Manage a team of junior staff who assists in the analysis of regulated and unregulated private equity, real estate and other alternative structures and assessment of legal documentation required to fulfill depositary duties. Paralegal role, works closely with colleagues from the legal and operations department and other State Street offices. Assists colleagues from sales and client relationship management as subject matter expert in client meetings and presentations as well as in presentations to senior management and in day to day management of the client relationship.

The candidate will be at the core of the depositary oversight team providing valuable assistance with respect to:

  • Perform the analysis of private equity, real estate and other alternative structures introduced by clients.
  • Onboard new client on the depositary point of view through the analysis of the relevant legal documentation
  • Determine and assess relevant legal documentation on multi-domicile alternative structures operating out of Luxembourg such as private placement memorandum, share purchase agreements, corporate and financing documents, title deeds and similar.
  • Assess other relevant information on alternative structures relating to transactions and cash flows.
  • Perform the depositary oversight tasks.
  • Assist in the drafting and implementation of relevant internal procedures.
  • Maintain document database and ensures documents are updated as needed.
  • Investment restrictions compliance monitoring: Review if an identified breach requires escalation
  • Administration and Transfer Agency: Understand the risk items linked to the transfer agency and administration activity
  • Assist the team manager
  • Ability to work independently

To be successful in this role, your experience should include:

  • Academic qualification:
  • Bac + 3.
  • Legal studies or University degree in law are an advantage.

Working experience:

  • Professional experience in a bank, asset management firm, domiciliary agent, law firm or audit firm with focus on legal and financial structuring of private equity, real estate and other alternative structures. An in-depth knowledge of such structures and related processes and documentation is essential.
  • Experience in operating and monitoring of private equity and/or real estate investment vehicles both from the corporate governance and/or the accounting perspective.
