Private Equity / Venture Capital
Private equity funds are funds that typically take significant stakes in the equity of companies that are not listed on stock exchanges.
There are two broad categories for private equity jobs: venture capital funds and buyout funds.
The Venture Capitalist
Venture capitalists typically invest in early stage businesses in IT, telecommunications or life sciences by purchasing a significant equity stake.
Unlike buyout funds, venture capitalist funds will typically participate in different rounds of financing. 'Seed investors' will invest at the start of a company's life, whereas 'late stage' investors might be investing once a concept has been proven, shortly before the company floats on the stock market.
The Role of the Buy-Out Fund
While venture capital investors typically focus on young companies or start-ups, buyout funds tend to concentrate on established business.
Buyout funds will use debt to finance some of their transactions which is supported by the company's assets. Investment is usually at a much higher level than venture capitalists, often taking a controlling share in the company.
Once the acquisition has been secured, the purchased company may raise further debt to enable it to pay dividends to the buyout fund, before it later sells the company on either to a trade buyer or in a flotation.
There are several types of buyout transaction.
These include:
MBOs - Management Buy-Outs. When a team of executives already managing a particular company buy it from the current owners with the assistance of a private equity firm.
MBIs - Management Buy-Ins. When a new team of managers arrange the purchase of a company with the assistance of a private equity firm.
LBO - Leveraged Buyouts. Any type of buyout using substantial amounts of debt is considered leveraged, with LBOs often used to describe buyouts initiated by a private equity firm rather than a team of managers.
