  • To manage legal risks and to provide legal support to ECM and M&A Transaction Group functions within the IB APAC covering a range of corporate finance activities in or involving Singapore, Malaysia, Indonesia, Vietnam and Thailand.
  • ECM product coverage includes initial public offerings, block trades, new issues, secondary placements, rights issues and other forms of equity fund raising. Work includes the provision of day-to-day pre-deal, post-deal and non-deal support to coverage, sector and product teams. In relation to M&A, work includes review and clearance of consultant contracts, engagement letter/mandate letters, RFPs, commitment letters, strategic cooperation agreements, pre- mandates, teasers, pitch books, MOUs, LOIs and NDAs.
  • Daily work includes (i) drafting, reviewing, commenting and negotiating legal documentation, (ii) managing transaction flow from a legal perspective including coordinating with various parties such as Execution, Syndicate, Compliance and, where appropriate, external lawyers; (iii) assisting in structuring of transactions; and (iv) delivering advice on a range of laws, rules and regulations applicable to corporate finance activities in SE Asian countries.
  • To attend a range of committee and internal control meetings and to work closely with Compliance on all regulatory aspects including issues on independence, potential conflicts of interest and internal procedures.
  • Creation and maintenance of a system of precedents, templates and bibles in relation to South East Asian matters.
  • Ensuring that internal legal policies and guidelines are understood and implemented; providing training to internal clients and colleagues where appropriate.

A lawyer qualified to practice in Singapore with good academic qualifications. Qualifications in other jurisdictions preferred but not essential. Candidates must have
  • At least 7 years pqe or equivalent experience (will consider less than 7 years if candidate demonstrates sufficient competency and maturity)
  • Solid technical knowledge and experience in equity capital market work and ability to give sound advice on applicable rules and legislation
  • Prior experience on, and ideally broad exposure to, a range of SE Asia regional ECM/M&A deals highly desirable
  • Solid and substantial experience in corporate finance matters and transactions gained either from a reputable multinational law firm or in-house position of a reputable international bank
  • Pro-active, ability to work independently, problem solve and take ownership of deals
  • Team player with ability to work under pressure
  • Technically sound but sufficiently commercially-minded with strong interpersonal and communication skills
  • Able to deal with a demanding internal client base, including by handling multiple matters simultaneously and meeting tight deadlines when required
