Corporate Governance Analyst - Officer
Role Summary
As a key member of the EMEA CAO Governance team the role will help deliver governance related services to a number of State Street EMEA legal entities and internal governance committees and will be responsible for ensuring adherence to relevant local regulations i.e. Senior Manager & Certification Regime (SMCR) and State Street governance policies.

Major Responsibilities
Contribute to maintaining a 'best-in-class' approach to corporate governance, to include:
  • Assistance with preparing recommendations and briefing notes on corporate governance matters, including boards and its committees
  • Research and awareness of industry best practice in corporate governance
  • Board & Committee support e.g. assisting with governance processes, liaising with non-executive directors, agenda preparation, paper dissemination, and any other activities as may be required, e.g. effectiveness evaluations.
  • Preparation and electronic submission of routine FCA filings
  • Maintenance of statutory registers and Companies House filings, including reviewing statutory accounts
  • Undertake governance-related project work, under guidance where necessary
  • Handle routine issues and queries from internal and external stakeholders, and provide advice within the established framework of the role and in compliance with all applicable laws and regulations
  • Understanding of the SMCR and experience working on it in other regulated firms
  • Involved in governance, regulatory change and other project based initiatives in the UK, including Conduct Risk initiatives

Qualification Criteria
  • Prior Governance/Corporate Secretariat/SMCR experience
  • Knowledge of financial services, language and products (preferred)
  • Excellent organisational skills
  • Ability to work autonomously
  • Ability to think creatively, problem solve and influence colleagues to address challenges in alternative ways
  • Ability to articulate and present a problem and persuasively outline solutions
  • Able to work collaboratively and as part of a team and build credibility quickly by demonstrating knowledge, a desire to learn and impact
  • Able to bring together and lead brainstorming and problem-solving sessions across a range of areas
  • Demonstrates confidence and evokes trust through regularly delivering, and demonstrating value by using knowledge/skills to articulate solutions
  • Ability to multi-task and work under pressure to deliver within tight deadlines

Level of Education/ Specific Qualifications:
  • Educated to A level minimum
  • Governance related qualification (preferred) e.g. ICSA qualified or part-qualified
  • Degree in business, finance or related field (preferred)
