To effectively manage and support the corporate governance activities of Company's European domiciled entities in order to ensure compliance with regulatory and fiduciary responsibilities
Duties & Responsibilities
∙ Manages Board administration and governance processes for Company's European domiciled entities, including preparation and primary management of minutes and other Board records and assisting with the preparation for Board meetings.
∙ Manages and coordinates Legal & Compliance support for Company clients' Requests for Proposals (RfP), including coordination with Legal & Compliance attorneys and analysts, preparation and maintenance of corporate responses, and coordination with RfP teams in other business areas.
∙ Establishes and maintains good working relationship with other groups involved in the corporate governance process (e.g. Legal & Compliance colleagues, PRD and other internal stakeholders and service providers).
∙ Provides high-quality consultative services and support to internal clients (including lawyers and Directors) by reviewing and resolving complex day-today corporate governance issues and by promptly turning around high quality work product.
∙ Works with parties such as outside counsel, auditors, corporate secretaries and regulators, whilst representing Company in the highest ethical and professional standards.
Prepares corporate certificates and instruments, as well as other corporate regulatory filings as needed.
∙ Develops standard record keeping processes used by the team to document appropriate policies, procedures, and templates.
∙ Develops an understanding of the law, Company's business and the investment fund industry, the European regulatory environment; keeps current on industry and regulatory developments affecting our business, fosters an interest in Company's initiatives, services and product offered, researches applicable law and keeps abreast and current of legal and regulatory developments impacting our business.
∙ Participates in special projects and performs other duties as assigned.
