REPORTING RELATIONSHIPS:



 



This position will report to the General Counsel.



 



ROLE AND RESPONSIBILITIES:



 



The role will focus on providing legal support to Matthews’ growing international business, which currently consists of a Luxembourg domiciled UCITS umbrella fund with 12 sub-funds, an Irish QIF and subsidiaries in Hong Kong and the UK.   



 



Fund Support:  Position responsible for supporting Matthews’ UCITS fund, including maintenance of prospectus, preparation of KIIDs and KFS documents, formation of new sub-funds and share classes, registration of sub-funds in new jurisdictions and providing legal input at the Fund Board of Directors meetings, all of which will be done in collaboration with outside counsel for the Fund and Matthews’ regulatory administration team, which sits within the Legal Department.  Additional support of the UCITS fund involves drafting and negotiating distribution and retrocession agreements and assisting Compliance with questions regarding sales and marketing efforts in new jurisdictions.  Support of Matthews’ Irish QIF, which is not marketed to new clients, involves an abbreviated version of the preceding list of responsibilities.



 



Subsidiary Support:  Sales and marketing support of the UCITS fund is the primary focus of Matthews’ Hong Kong and UK subsidiaries.  Position will be responsible for providing legal advice to the business persons in these subsidiaries and local compliance officer in Hong Kong, reviewing agreements, administering and providing legal input at subsidiary board meetings, and working with outside counsel regarding licensing applications and business expansion.



 



International Expansion:  Position would play key role in advising the business on international expansion opportunities and in forming new subsidiaries and acquiring new licenses.



 



General:  As a member of Legal Department would be expected to contribute to general matters arising, including reviewing contracts, advising Risk and Compliance Department and other functions on day-to-day legal questions and participating on key projects and Legal Department initiatives.



 



 



REQUIREMENTS



 



  • Legal Qualifications - J.D. with superior academic credentials from nationally-recognized law school, bar admission and at least seven years of legal practice in a law firm or in-house required.

  • Investment Management Experience – At least five years of investment management experience required.  Additional experience a plus.  Some or all of the following experience highly desirable: 
    • Funds - formation and maintenance experience, particularly with regards to UCITS; distribution related experience, including drafting and negotiating distribution agreements; prospectus drafting and updating; and, overseeing and managing fund registration in international jurisdictions;

    • Market entry into international jurisdictions, including obtaining and maintaining licenses or authorizations or exemptions to conduct investment management activities in those jurisdictions; and

    • Familiarity with asset management regulations in Europe and Asia.


  • General Corporate Experience - Corporate governance related experience highly desirable, including providing legal support related to annual general meetings of shareholders and board of directors meetings.

  • Strong organizational skills and ability to effectively and efficiently manage workload, plan and lead projects and track deadlines essential to success.

  • Exceptional written and oral comprehension and communication skills required.  Must be able to grasp complicated matters and communicate complex concepts in an easy-to-understand manner.

  • Must be a team player who is as keen to pitch-in and help others on the team as he/she is to receive help.

  • Attention to detail, punctuality and strong sense of responsibility required.

  • Must be a U.S citizen or authorized to work in the U.S on a permanent basis.
