Job Description:    

This jobopening is an opportunity to become an integral part of the in-house legal teamat the Federal Reserve Bank of Boston. We are seeking an energetic attorneywith a minimum of 7 years of legal experience to join a small, dynamic team oflawyers that provides research, legal advice, and counsel on a variety oftopics and issues. This individual will work with many internal clientdepartments and with individuals from all levels of the organization, as wellwith legal colleagues from other Reserve Banks and the Board of Governors ofthe Federal Reserve System. 

Job Summary:

Thisposition is responsible for rendering legal advice, counsel, and/or guidance ona broad range of banking and financial services, regulatory, corporate andtransactional and litigation matters that fall within the domain of the LegalDepartment, including matters concerning the Banks lending and relatedactivities. 

Principal Accountabilities:

1.    Serve as in-house counsel to matters concerning the Banks lending and relatedactivities and other specified departments within the Bank, depending on areasof expertise.

2.    Structure, draft, negotiate and review credit agreements, forbearance andworkout agreements, other contracts, service agreements and requests forproposals and other procurement documents.

3.    Research and prepare legal memoranda, and render advice on various topics forReserve Bank staff and management, including with respect to commerciallending, distressed debt and workout transactions, compliance and corporategovernance.

4.    Respond to inquiries from the public and legal professionals, and speakpublicly, on matters/areas of responsibility.

5.    Participate in select System workgroups and work on other special projects.Assist the General Counsel and Associate General Counsels and other attorneyswith their System responsibilities.

6.      Advise and support the Banks compliance and risk management programs, as wellas its programs for data management.  

7.    Work with Board legal staff on legal matters.

8.    Seek to provide thought leadership and strategic thinking contributions toclients and the Bank more broadly.

Thisposition is not required to directly supervise others. The incumbent may berequested to supervise an occasional intern or law clerk.

Knowledge and Experience:

Completionof a Juris Doctor degree from an ABA-accredited law school, admission to theMassachusetts Bar, and a minimum of 7 years of relevant experiencerequired.  Qualifications include: strong drafting, negotiating andanalytic, written and oral communication skills; ability to juggle multipleclient requests and needs and to adjust priorities; willingness to spend thetime necessary to meet demanding deadlines; willingness to collaborate yet workindependently and with minimal supervision/direction; ability to thinkcreatively and strategically; strong attention to detail; receptivity tocontinuous learning; and, ability to demonstrate professional demeanor at alltimes.  Law firm or agency experience could be a plus. Experiences ingeneral transaction matters, including with respect to commercial lending,distressed debt, workout and restructuring transactions, data and complianceand corporate governance a strong plus.

Thisposition also requires applicable licensing, certification or registration.

Theduties of this position require access to sensitive confidential supervisoryinformation and/or work supporting the Banks role as fiscal agent to the U.S.Treasury.

Accordingly,under applicable federal regulations and a U.S. Treasury directive, U.S.citizenship is required.

Allemployees assigned to this position will be subject to FBI fingerprint/criminal background and Patriot Act/ Office of Foreign Assets Control (OFAC)watch list checks at least once every five years.
