New $1Bil+ Private Equity/Credit Fund based in NYC seeks a Senior General Counsel. The firm will be investing in PE, real estate, infrastructure, credit/distressed credit, alternatives.

Reporting to the CEO, the General Counsel will lead the legal function company-wide and be a key member of  The Firm's executive team. The GC will help The Firm grow and expand worldwide, work closely with the business, and help manage compliance and other legal responsibilities.  The GC role is located in the New York Office.

 

The General Counsel will have 10+ years of legal experience, in-house  at a  Private Equity or Alternative Hedge Fund, and will be a team-oriented individual who collaborates well with his/her business partners in order to provide assistance to the business, solutions to legal issues. 
The General Counsel will handle a wide variety of responsibilities, including leading and managing the corporate governance and regulatory compliance functions, overseeing acquisitions and other strategic activity, and advising the board and the C-Suite on corporate governance matters. 
In addition, the ideal candidate will have the broad experience required of a General Counsel, including  formation of fund structures( PE and HF structures), corporate structuring as pertains to The Firm's parent company and The Firm's subsidiaries,  FINRA and other regulatory compliance as well as drafting and negotiation of fund/account documents and all types of contracts.
Candidates from a PE/ Credit Fund background experience will be particularly attractive.

 

In addition to being an integral part of The Firm's executive team, the General Counsel will be responsible for leading, managing and guiding the Company’s in-house legal and regulatory compliance teams with an aim towards fully maximizing their performance and capabilities, resulting in the continued growth and development of each member of the team. 

 

Qualifications:

10+ years experience as GC at a "Top Tier" Hedge Fund/PE Fund/ Alternative s Fund.

JD from an accredited law school

Experience handling all manner of complex business transactions, fund structuring.

Excellent written and oral communication skills as well as strong organizational and project management skills.

Demonstrated ability to work  in a fast paced environment with a strong focus on teamwork.

Strong background and understanding of ethics and compliance issues.
